This Vendor Agreement (“Agreement”) governs the relationship between digideez (“we,” “us,” or “the Marketplace”) and any individual or entity (“Vendor,” “you,” or “Seller”) that lists or sells digital products on the digideez platform.
By registering as a Vendor or listing products on digideez, you agree to be bound by this Agreement.
1. Vendor Eligibility
To sell on digideez, you must:
- Be at least 18 years old
- Have the legal authority to enter into this Agreement
- Provide accurate and complete account information
- Comply with all applicable local, state, federal, and international laws
digideez reserves the right to approve, deny, suspend, or terminate Vendor accounts at its sole discretion.
2. Independent Vendor Status
Vendors are independent contractors, not employees, partners, agents, or representatives of digideez.
You have no authority to bind digideez, make representations on our behalf, or act as our agent in any capacity.
3. Digital Products & Ownership
Vendor Representations
You represent and warrant that:
- You own or have full legal rights to sell all content you upload
- Your products do not infringe on copyrights, trademarks, patents, or other intellectual property rights
- Your products do not contain malware, spyware, or malicious code
You are solely responsible for the content, legality, accuracy, and quality of your products.
4. Licensing to digideez
By uploading content, you grant digideez a non-exclusive, worldwide, royalty-free license to:
- Host, store, display, distribute, and promote your products
- Use product images, descriptions, and previews for marketing and marketplace functionality
This license exists solely for operating and promoting the marketplace and ends when your products are removed, except as required for legal or transactional records.
5. Pricing & Sales
- Vendors set their own prices unless otherwise stated
- digideez may display discounts, promotions, or marketplace-wide sales
- All sales are final unless otherwise required by law
digideez reserves the right to remove products that violate policies or damage marketplace integrity.
6. Fees & Payouts
- digideez retains a marketplace fee or commission as disclosed at the time of sale
- Payouts are issued according to the platform’s payout schedule
- Vendors are responsible for providing accurate payout information
digideez is not responsible for payout delays caused by incorrect Vendor information or third-party payment processors.
7. Taxes
Vendors are solely responsible for:
- Reporting and paying all applicable taxes
- VAT, sales tax, income tax, or other tax obligations
digideez does not provide tax advice or guarantee tax compliance.
8. Customer Data & Privacy
Vendors may receive limited customer information necessary to fulfill transactions.
Vendors agree to:
- Use customer data only for order fulfillment and support
- Not sell, share, or misuse customer personal data
- Comply with applicable privacy laws including GDPR and CCPA
Violation of privacy obligations may result in immediate termination.
9. Prohibited Content & Conduct
Vendors may not list or distribute:
- Copyrighted or trademarked material without authorization
- Fraudulent, deceptive, or misleading products
- Content promoting hate, violence, or illegal activity
- Malware, exploits, or harmful software
- Adult content involving minors (zero tolerance)
digideez reserves the right to remove any content that violates these rules or poses legal risk.
10. DMCA & Copyright Complaints
digideez complies with the Digital Millennium Copyright Act (DMCA).
- Vendors must respond promptly to copyright complaints
- Repeated infringement may result in permanent account termination
- digideez may remove content without prior notice when legally required
11. Account Suspension & Termination
digideez may suspend or terminate Vendor accounts:
- For violations of this Agreement
- For repeated complaints or abuse
- For legal, security, or operational reasons
Upon termination:
- Active listings will be removed
- Outstanding payouts may be withheld pending investigation
- digideez retains records as required by law
12. Disclaimers
digideez provides the marketplace “as is” and “as available.”
We do not guarantee:
- Sales volume or revenue
- Continuous platform availability
- Error-free operation
Vendors assume all business risk.
13. Limitation of Liability
To the maximum extent permitted by law:
- digideez shall not be liable for indirect, incidental, or consequential damages
- digideez’s total liability shall not exceed the fees paid to digideez by the Vendor in the prior 12 months
14. Indemnification
Vendors agree to indemnify and hold harmless digideez from any claims, damages, losses, or legal fees arising from:
- Vendor products
- Intellectual property disputes
- Privacy violations
- Breach of this Agreement
15. Governing Law
This Agreement shall be governed by the laws of the State of Wisconsin, without regard to conflict of law principles.
16. Changes to This Agreement
digideez may update this Agreement at any time. Continued use of the marketplace after changes constitutes acceptance of the updated terms.
